1Agreement
These Terms of Service ("Terms") are a legal agreement between you and EdgeProof ("we," "us"). They govern your use of the EdgeProof software, the edgeproof.net website, the account portal, and related services (together, the "Service"). By installing, accessing, or using the Service, you agree to these Terms, the Risk Disclosure & Disclaimer, and the Privacy Policy. If you do not agree, do not use the Service.
2Eligibility
You must be at least 18 years old, able to form a binding contract, and legally permitted to trade securities and options in your jurisdiction. You must maintain your own eligible brokerage account. You may not use the Service if you are barred from doing so under applicable law or the rules of any market or broker.
3What the Service is (and is not)
EdgeProof is self-hosted software that you operate on your own equipment. It is a tool. It is not investment advice, and we are not a broker-dealer, investment adviser, or fiduciary. The Risk Disclosure & Disclaimer is incorporated into these Terms in full and describes the nature of the Service and the risks of using it.
4License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your own personal use. Live-trading features require an active paid subscription and a valid license key. You may not:
- Resell, sublicense, or redistribute the Service or your license key
- Circumvent, disable, or tamper with license verification or usage limits
- Use the Service to provide a trading or advisory service to third parties
- Reverse engineer the Service except to the extent that restriction is prohibited by law
The Service is licensed, not sold. We retain all rights not expressly granted.
5Subscriptions, billing, and cancellation
Paper trading is free. Live trading requires a paid subscription billed through our payment processor, Stripe.
- Auto-renewal. Paid subscriptions renew automatically each month and your payment method is charged the then-current fee until you cancel. By subscribing you authorize these recurring charges.
- Cancellation. You may cancel at any time through your account portal or the Stripe customer portal. Cancellation stops future renewals. Access to live features continues until the end of the paid period.
- Price changes. We may change subscription pricing on a going-forward basis. We will give notice before a change affects you, and continued use after the change takes effect constitutes acceptance.

- Taxes. You are responsible for any applicable taxes not collected by us.
6Your responsibilities
You are solely responsible for your brokerage account, your API keys, your configuration, your Discord memberships, every trade the Service places under your configuration, and the security of the machine on which the Service runs. You agree to test in paper mode before enabling live trading and to monitor the Service while it operates. You agree to comply with the terms of Alpaca, Discord, and any signal source you use.
7Third-party services
The Service interacts with third parties including Alpaca, Discord, and your local language model runtime. We do not control those services, are not responsible for their acts or omissions, and make no warranty about their availability, accuracy, or performance. Your use of them is governed by their own terms.
8Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR PROFITABLE, OR THAT IT WILL EXECUTE, MISS, OR AVOID ANY PARTICULAR TRADE.
9Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGEPROOF AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY TRADING LOSSES OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
10Indemnification
You agree to indemnify and hold harmless EdgeProof and its owners and personnel from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, your trades, your configuration, your violation of these Terms, or your violation of any law or third-party right.
11Termination
You may stop using the Service at any time. We may suspend or terminate your access or license if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including licensing restrictions, disclaimers, limitation of liability, indemnification, and dispute resolution) survive.
12Governing law and dispute resolution
These Terms are governed by the laws of [STATE / JURISDICTION], without regard to conflict-of-laws rules. Any dispute arising from or relating to the Service or these Terms will be resolved by binding individual arbitration administered by [ARBITRATION BODY], and not in court, except that either party may bring an individual claim in small-claims court. 13Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
